workmen in building the boilers, or in fitting or putting up the engines and boilers, as they may deem advantageous to the public service; and any additional cost of such pieces or parts, or labor, beyond the prices herein contracted for, shall be deducted from the bills of the said for such work, materials, and labor, as they may furnish, in addition to the ten per centum herein authorized to be retained as additional security for the proper completion of the contract.

In testimony of all which agreements and stipulations, the parties proposing have hereunto signed their names and affixed their seals, this day of one thousand eight hundred and forty-two.

The Board have decided to accept one of the two propositions you have made, but which one of them they will determine in a day or two, of which you will be duly advised.

NAVY COMMISSIONERS' OFFICE, May 19, 1842.

GENTLEMEN: Referring to their letter of the 3d instant, the Board of Navy Commissioners have now to inform you that they have decided to contract for the iron steamer at an average rate per pound for the whole of the materials, including labor, transportation, and all other charges of the hull, complete, at Lake Erie.

You will receive, here with, the contract and bond, which you will execute before witnesses and return to this office.

CONTRACT.

This contract, made and entered into this day of May, Anno Domini one thousand eight hundred and forty-two, between Samuel Stackhouse and Joseph Tomlinson, of Pittsburg, in the State of Pennsylvania, Copartners under the firm of Stackhouse & Tomlinson, of the one part, and the Board of Navy Commissioners, acting under the authority of the Navy Department, for and in behalf of the United States, of the other part, witnesseth, that the said Stackhouse & Tomlinson do hereby contract and engage with the said Board of Navy Commissioners as follows:

That, for the consideration hereinafter mentioned, they will, at their own expense, furnish the materials, manufacture, build, launch, and at their own risk deliver, safe afloat, at the harbor of Erie, on Lake Erie, in the State of Pennsylvania, or at such place as the Navy Commissioners may direct, the hull of an iron steamer, to be of American Juniata iron of the best quality, of about five hundred tons measurement; embracing the furnishing, finishing, and putting together to completion the iron work of ad descriptions, including the iron work for the outfits and stores; and painting the same with two good coats of red lead, (one coat before the work is put together, and one coat after being put together,) under the superiatendence of such person or persons as the Navy Commissioners may ap point, and according to moulds, stipulations, dimensions, and directions, to be furnished by the Navy Commissioners or by their superintendent. The said Stackhouse & Tomlinson further agree that the boilers and such parts of the engine as may be deemed necessary by the said superintend ent shall be put on board by them, before launching, and sufficiently early to allow the decks to be laid and completed previous to that event; and they further agree, that the quantities and dimensions of the iron work may be increased or diminished from what is expressed in the schedules A, B, and C, accompanying the circular letter of said Board of Navy Commissioners of the twelfth day of April last. The whole of said iron work shall be weighed after being worked and fitted to its appropriate place, and previous to its being finally put together; this nett weight being that by which payment is to be made. All expenses for the transportation of the iron work, as well as the expenses incident to the launching of said steamer, shall be borne by the said Stackhouse & Tomlinson.

All the aforesaid iron work shall be subject to such inspection as the said Board of Navy Commissioners may direct or authorize, and shall be entirely to their satisfaction, or to the satisfaction of the person or persons who may be appointed by them to inspect the same.

In case the said Stackhouse & Tomlinson shall not, in the opinion of the said Board of Navy Commissioners, use due diligence in prosecuting the work, so as to ensure its completion by or before the tenth day of April,

eighteen hundred and forty-three, the said Board of Navy Commissioners shall have the right of procuring from any other establishment any pieces or parts that may then be deficient; and any excess of cost over the price hereinafter agreed to be paid therefor shall be charged to and paid by the said Stackhouse & Tomlinson.

And the said Stackhouse & Tomlinson do further engage and contract, that no member of Congress, officer of the navy, nor any person holding any office or appointment under the Navy Department, shall have any interest or be in any wise concerned, either directly or indirectly, in any of the issues, profits, or receipts of this contract.

And the said Board of Navy Commissioners, acting as aforesaid, doth hereby contract and engage, with the said Stackhouse & Tomlinson, as follows: That they will furnish the wood moulds and specifications required for the shaping the vessel in season to meet the wants of said Stackhouse & Tomlinson, and will cause the kelson and other wood work to be progressed with and put in as fast as practicable, so as not to delay them in the progress of the iron work.

And that, for all the iron manufactured, furnished, and delivered, for the hull of the steamer aforesaid, manufactured in the manner hereinbefore specified, and which shall pass the required inspection, conform to the moulds, specifications, dimensions, and directions, to be furnished as aforesaid, and be in all respects to the entire satisfaction of the Navy Commissioners, or to the person or persons who may be appointed by them to inspect the same, there shall be paid to the said Stackhouse & Tomlinson, or to their order, by the navy agent at Philadelphia, on the nett weight as aforesaid, (in the manner and to the extent hereinafter provided for,) in four equal payments, viz: the first payment when the keel is laid, and three-fourths of the frame is up; the second when the hull is ready to be shipped; the third when the vessel is launched; and the fourth payment when the vessel is completed; on account of all bills for said iron work delivered, made out in approved form, authenticated by certificates of the inspecting officers, setting forth that the said iron work has been found to be of the best quality, and that it conforms with the stipulations and conditions of this contract, at the rate of thirteen cents and three-fourths of a cent (13 cents) per pound.

No other charge to be admitted, nor allowances to be made by the United States, for or on account of this contract, and ten per centum to be withheld from the amount of all payments on account thereof, as collateral security, in addition to the bond given to secure its performance, and not in any event to be paid until it is in all respects complied with; and ninety per centum of the amount of all deliveries made will be paid by the said navy agent, within thirty days after bills, duly authenticated as aforesaid, shall have been presented to him.

In testimony of all which agreements and stipulations, the parties above named have hereunto signed their names, and affixed their seals, this day of May, Anno Domini one thousand eight hundred and forty-two.
