His Excellency, Governor T. C. Fletcher:

ST. LOUIS, December 19th, 1868.

DEAR SIR:-Accompanying this I hand you my final report in connection with the Southwest Pacific Railroad Company.

When the road was, upon you order, transferred to the South Pacific Railroad Company the President of said Company, in enclosing your order, wrote me as follows: "You will please remember that the cash realized from the management of the road since it was taken possession of by the Governor, belongs now to the South Pacific Railroad Company." Will you please imform me whether, by the first and second section of the Southwest Act, the transfer of such moneys to the South Pacific Company was contemplated by the Legislature? I would be very glad, as a shareholder in the South Pacific Railroad Company, to receive your affirmative decision, as our engineers estimate the necessary repairs on the old line to cost $250,000.

DEAR GOVERNOR :-I return the South Pacific paragraph with a suggestion or two noted thereon. You cover the ground well.

Now, then, as touching the balance of earnings, inasmuch as there is a difference of opinion, as indicated in my letter to you of the 19th inst., can't you merely refer to my report without stating figures? or, if you so decide, I will place the balance in the hands of the Treasurer forthwith. I go to New York and Boston to-morrow for a day or two. If I can serve you, command me at the St. Nicholas, and I will respond. Many thanks for your good words. "Mr. Purse" says they are jest the thing.

DEAR SIR:-I have the honor to submit herewith my final report of the operations of the Southwest Pacific Railroad. The report covers in detail the receipts and expenditures from January 1st, 1863, at which date my former report terminated, to June 30th, 1868, when, in obedience to your order, I formally surrendered the road to the South Pacific Railroad Company. The exhibit shows a credit balance of $8.902 25.

The earnings of the road were expended in the renewal of cross-ties, improvement of buildings, platforms and bridges, the widening of the rock cuts between Rolla aud Piney, and the reconstruction of rolling stock. The locomotives were thoroughly overhauled and furnished with Crupp's steel tires and new and complete trucks, so that when turned over to the new company they were as erviceable as when new.

During my administration of the affairs of the road in behalf of the State it was my constant effort to improve both the road and its equipment, by the most judicious expenditure of its earnings. Trusting my action will meet the approval of the Executive,
