JAMES W. TAYLOR, the late Secretary of the Newburgh and Wallkill Valley Railroad Company, being sworn, deposes and says, that the statements in the annexed report which has been signed by him at the end thereof, are true and correct, according to the best of his knowledge, information and belief.

Deputy State Engineer and Surveyor:

DEAR SIR.-At a meeting of the Board of Directors of the Newburgh and Wallkill Valley Railroad Company, held on the 21st day of April last, the following resolution was unanimously adopted, to wit:

"Resolved, That this corporation be and the same hereby is dissolved; and that the Treasurer be and he hereby is authorized and directed to pay to the subscribers to the stock of this company, the several amounts by them paid in upon their several subscriptions, with the accumulated interest pro rata, due from the savings bank; and that such payment be made by said Treasurer at the Bank of Newburgh, on and after the first day of July next."

Whereupon said Board adjourned sine die.

In pursuance of the above resolution, the Treasurer of the company, on the first day of July last, paid over to the several subscribers to the stock of said company, the amounts paid in by them respectively, and took their receipts therefor, with the interest thereon collected of the Newburgh Savings Bank.

The corporation is therefore dissolved.

The preliminary surveys have been made, and the profiles and maps, in the several counties, filed as required by law, but no part of the line has been constructed.
