Maps of the Commonwealth and Southern Corporation show five interstate interconnections at the Alabama-Tennessee State line between Alabama Power Co. and Tennessee Electric Power Co. These interconnections were made during 1930.

INTERCORPORATE RELATIONS OF THE SOUTHEASTERN POWER & LIGHT GROUP

These intercorporate relations are shown to exist through three different channels as follows:

1. Common officers and directors.

2. Ownership of voting stock.

3. Service contracts.

Five tables have been prepared setting out these relations and one listing the holders of 1 per cent or more of the voting stock of the Southeastern Power Co. itself and the amount of stock held by each.

A chart has also been prepared showing the length of service of each of the directors and officers of the Southeastern Power & Light Co. from its organization to December 31, 1929.

LENGTH OF SERVICE OF OFFICERS AND DIRECTORS

A chart has been prepared showing the length of service of all the directors and officers of the Southeastern Power & Light Co. from the date of its organization to December 31, 1929.

The list of organization directors and officers, and the date when they took office, was taken from the charter, and all the other data were secured from the company's annual reports. These reports, of course, do not give the dates on which officers and directors either began or ended their terms of service, consequently it was impossible to designate these actual dates. However, the annual stockholders' meetings were held in either June or July of each year and the periods of service are shown as beginning or ending at the time of these meetings.

There have been only three changes on the board of directors (other than those due to increases in the board) since the first permanent board was elected. There have been only two changes in officers during the same period, the secretary in 1925, and the treasurer in 1926.

It will be noted that three of the incorporators have acted in the same capacity for one or more companies in the Electric Bond & Share groups. These three are:

E. M. Leavitt for American Power & Light Co.; Pacific Power & Light Co.; Utah Power & Light Co.; Electric Power & Light Corporation.

E. F. Porter for Electric Power & Light Corporation.

M. Y. Marston for Electric Power & Light Corporation.

The other two incorporators were members of the firm of McLean, Fogg & Southard. As has already been shown in commission's Exhibits 4626 and 4641, this firm was the direct successor of the firm of Williamson, Burleighson & McLean, the attorneys that acted as incorporators for the American Power & Light in 1909, Pacific Power & Light Co. in 1910, Utah Power & Light Co. in 1912, and Electric Power & Light Corporation in 1925. It has also been shown that from the time of the organization of these companies one or more of the five members of this firm have acted as proxy holders at every meeting of the stockholders of each of these four companies.
