QUESTIONNAIRE NO. 2

Sent to licensees for the purpose of securing information for the public in regard to the nature and ramifications of control among public utility service companies)

On July 3, 1931, the Federal Power Commission adopted a resolution reading follows:

RESOLUTION

On motion of Commissioner Williamson, seconded by Commissioner Draper, e following resolution was unanimously adopted:

"Be it resolved, That for the purpose of obtaining the facts needed by the Federal wer Commission in carrying on its functions prescribed by the Federal water wer act, a study be authorized of the ownership, control, and affiliations of the blic utility operating companies which are licensees of the Federal Power mmission:

"And that this study shall include the collection of all available facts bearing on the ownership and control, direct or indirect (through stock ownership or atrol or otherwise), of stock, security, or capital interest of public utilities gaged in the developing, transmitting, or distributing of hydroelectric power sale or use in the public service where the same enters into interstate business, where the same, or any part thereof, shall be subject to regulation by the Federal wer Commission under the jurisdiction conferred by the Federal water power by holding companies, investment trusts, individuals, partnerships, corporans, associations, and trusts and the organization, financing, development, nagement, operation, and control of such holding companies, investment trusts, tnerships, corporations, associations, and trusts.

'For the purpose of making the foregoing study, the employment of Walter W. Splawn is authorized as a special assistant of the commission for a period to exceed four months."

Pursuant to the authority given in the aforesaid resolution and for the informaa of the commission in its administration of the Federal water power act, the pondent is requested on or before September 15, 1931, to file with the Federal ver Commission at its office in Washington, D. C., specific and complete anrs to the following questions. These questions are addressed primarily to` nsees under the Federal water power act. While some of the information asked is in the files of this commission and of other governmental departments, for sake of uniformity and convenience of compilation the licensees are requested ill in the answer to all the questions.

ach licensee is requested to make complete answers, either by answering the stion directly when it relates to matters of which the licensee has direct cognice, or indirectly when the question relates to matters in the cognizance of the trolling interest, immediate or ultimate. For the latter purpose, additional

copies of the questions are furnished and more will be furnished by the commission on request.

The requirement for answers to the questions applies to holders of minor-part licenses and minor-project licenses, as well as to the holders of major-project licenses and to applicants for such licenses.

It will be seen that answers to the several subdivisions of Question X hereof will disclose the direct chain of control, if any, under which each licensee is controlled, showing the ultimate control as well as the immediate and intermediate control. Each company in this direct chain of control is requested to answer the questions in its own name, and to respond to each and every question. If a company holds control (immediate, intermediate, or ultimate) of two or more licensees, such company should embody all of its answers concerning its own activities in filling out one copy of the questionnaire. Each company responding to the questions will return its answers directly to the commission.

1 A respondent which is not a licensee, but which holds the control (immediate, intermediate, or ultimate) of one or more licensees should answer this question in the following manner:

1. If respondent is itself an operating electric power company, answer subdivisions (b), (c), (d), (e), (). (7), (h), and (j) as they relate to its own operations.

2. If respondent is not an operating electric power company but holds the control (immediate, Litermediate, or ultimate) of one or more operating electric power companies, all subdivisions of this question are to be answered by respondent in the aggregate to cover the properties and operations of all underlying electric power companies (nonlicensee as well as licensee companies) controlled by respondent, except that properties located or operations conducted outside of the United States are not to be included.

III. CORPORATE POWERS

IV. FINANCIAL STRUCTURE

File for each company disclosed in answer to Question X balance sheet as of June 30, 1931, describing clearly each issue of stocks, bonds, and other securities outstanding.
